These Terms of Service ("Terms") govern your access to and use of the wingscript applications and services — the Chrome browser extension, the macOS application, the iOS application, and the wingscript web application (together, the "Service"), provided by Weavery, LLC, a California limited liability company doing business as wingscript ("wingscript", "we", "us", "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

wingscript is a real-time conversation intelligence tool. It transcribes your conversations, generates live coaching cues and post-call analysis, and builds a learning profile to improve coaching over time. How we handle your data is described in our Privacy Policy, which is incorporated into these Terms by reference.

The Service is currently offered as an invite-only beta. Features may change, be added, or be removed at any time, and access may be limited, suspended, or discontinued while the Service is in beta.

2. Eligibility and Accounts

• You must be at least 18 years old and using the Service for business purposes.
• You sign in with a supported identity provider (Google or Apple). You are responsible for safeguarding access to your account and for all activity that occurs under it.
• If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" includes that organization.

3. Recording and Consent — Your Responsibility

The Service captures and transcribes conversations. Laws about recording and transcribing conversations vary by jurisdiction, and many require the consent of all participants. You are solely responsible for complying with all applicable laws when using the Service, including obtaining any required consent from every participant before capturing or transcribing a conversation. We do not provide legal advice, and nothing in the Service should be read as a determination that your use is lawful in your jurisdiction.

4. Acceptable Use

You agree not to:

• Use the Service in violation of any law or the rights of others, including privacy and wiretap/recording-consent laws;
• Reverse engineer, decompile, or attempt to extract the source code, models, or prompts of the Service, except where such restriction is prohibited by law;
• Resell, sublicense, or provide the Service to third parties as a service bureau without our written agreement;
• Probe, scan, overload, or test the vulnerability of the Service, or circumvent its authentication or usage limits;
• Upload content you do not have the right to use, or content containing malware or unlawful material;
• Use the Service to develop a competing product.

5. Your Content

• You retain all rights to the content you provide to the Service — transcripts of your conversations, documents you upload or sync, and data from connectors you enable ("Your Content").
• You grant us a limited, non-exclusive license to host, process, and display Your Content solely to provide and improve the Service for you, consistent with the Privacy Policy.
• We do not sell Your Content and we do not use it to train AI models.
• You are responsible for Your Content, including having the rights and consents necessary to provide it to the Service.

6. AI Output — No Professional Advice

Coaching cues, summaries, scores, and other AI-generated output are automatically generated suggestions. They may be inaccurate, incomplete, or inappropriate for your situation. Output is provided for informational purposes only and is not professional, legal, financial, or medical advice. You are responsible for how you use it — exercise your own judgment, especially in consequential conversations.

7. Third-Party Services

The Service integrates with third-party services you choose to connect (for example Google Calendar, Google Drive, Salesforce, HubSpot, Notion, LinkedIn). Your use of those services is governed by their own terms, and we are not responsible for them. Disconnecting a connector stops future data flow from that service.

8. Intellectual Property

The Service — including its software, design, branding, and all content we provide other than Your Content — is owned by us or our licensors and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. Feedback you choose to send us may be used to improve the Service without obligation to you.

9. Termination

• You may stop using the Service and request deletion of your account and data at any time (see the Privacy Policy for how).
• We may suspend or terminate your access if you materially breach these Terms, if required by law, or — during the beta — at our discretion with reasonable notice where practicable.
• Sections that by their nature should survive termination (including Sections 5, 6, 8, 10, 11, and 12) survive.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT TRANSCRIPTS OR AI OUTPUT WILL BE ACCURATE OR COMPLETE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATING TO YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE OR ONE HUNDRED US DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

12. Indemnification

You will indemnify and hold us harmless from claims, damages, and expenses (including reasonable attorneys' fees) arising from Your Content, your use of the Service in violation of these Terms, or your violation of applicable law — including failure to obtain required recording consent from conversation participants.

13. Governing Law

These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-laws principles. Disputes will be resolved in the state or federal courts located in California, and you consent to their jurisdiction.

14. Changes to These Terms

We may update these Terms as the Service evolves. The effective date at the top reflects the most recent revision. Material changes will be communicated via email to registered users, and continued use of the Service after changes take effect constitutes acceptance.
